General Terms and Conditions for the training programmes of TEAMWILLE GmbH
1. Scope
The following Terms and Conditions shall govern the relationship between TEAMWILLE GmbH (hereinafter referred to as TEAMWILLE) and the client. Our offers, deliveries and services are subject exclusively to these Terms and Conditions. Any additions or modifications to this offer shall be made in writing.
Should individual provisions of this offer be or become invalid or unenforceable after conclusion of the agreement, this shall not affect the validity or enforceability of this agreement or of any other term or provision hereof. Furthermore, in lieu of any such invalid or unenforceable term or provision, the parties hereto agree that a provision shall be applied that is as similar as possible in terms of the economic goal of the parties and that is valid and enforceable. The above provisions shall apply accordingly in the event that the agreement is found to be incomplete.
2. Order scope and execution
The subject of the order is the agreed upon service, not a specific economic success.
3. Offer or closure of the agreement
Any registration or order may be made or placed in writing by e-mail or by post. Any placed order or registration means that the client bindingly states that he/she wishes to purchase the ordered service.
4. Cancellation fees
In the event that the client cancels any ordered and agreed training and workshop dates, we shall charge the following pro rata fees and non-cancellable ancillary costs:
- 13 days in advance or less: 30 %
- 6 days in advance or less: 50 %
- on the same day: 100 %
5. Certification exams
If the client has registered for a certification event and does not participate or only partially participates in this event, he/she shall hold TEAMWILLE exempt from any related expenses. In particular, this shall include any cancellation fees and reimbursements of expenses due to the certification body and the meeting venue.
6. Payment terms
Unless otherwise agreed in an individual agreement, the valid course fees or prices specified in the current programme of events (print or online edition) shall apply. The course fees shall be paid no later than four weeks after invoicing. Invoices will be issued after the beginning of the course. All prices shall be deemed to be net prices and shall be subject to the applicable legal value-added tax. VAT exemption upon request. The course and examination fees do not include hotel or accommodation costs. These costs shall be covered by the participant.
7. Realisation of events
All events will be held according to the programme content. However, TEAMWILLE reserves the right to introduce any changes, provided that these do not fundamentally alter the purpose of the event. There shall be no entitlement that the training event shall be held by a specific trainer or at a specific location. TEAMWILLE reserves the right to postpone or cancel an event for reasons beyond its control, e. g. illness of a trainer or failure to reach the required minimum number of participants. In case of an event being cancelled, participants will be notified at the (e-mail) address stated upon registration. Participation fees already paid shall be refunded. Any further claims by the participants, in particular claims for damages of any kind, shall be excluded. All certification exams offered are subject to PM-ZERT's admission requirements, as well as to the minimum and maximum number of participants. If PM-ZERT refuses to carry out an examination due to the number of participants, TEAMWILLE will propose an alternative date and place. 8. Confidentiality
In compliance with the applicable laws, TEAMWILLE is bound to observe confidentiality about all facts that become known to it during the course of its work for the client, regardless of whether these facts relate to the client themselves or the client's business partners, unless the client releases TEAMWILLE from this obligation to maintain confidentiality. This duty of confidentiality does not apply to information which is manifestly not subject to protection or which is also publicly disseminated by the client. The client is not authorised to use any concepts and documents or other intellectual property of TEAMWILLE beyond the use agreed upon in the specific agreement. Unless otherwise specified in a separate usage agreement, the specific right of use shall extend solely to the field of application for which the specific order was placed. TEAMWILLE and the client are required to ensure that all confidentiality duties arising from these Terms and Conditions or from the specific agreement are passed on to the same extent to any assisting personnel or other third parties.
9. Liability
TEAMWILLE is not liable for the loss or theft of any items brought to the event by participants. In case of death, personal injury and damage to health, TEAMWILLE shall be liable only in the event of negligence and intent in accordance with applicable legislation. In the event of damage attributable to TEAMWILLE, regardless of the legal grounds, TEAMWILLE shall be liable only in the event of intent and gross negligence. In all other cases, liability shall be excluded, unless it's mandatory by law. Events will be carefully prepared and carried out in accordance with the current state of the art. We shall not assume any liability for advice given or the utilisation of knowledge acquired.
10. Data protection statement
By registering, you agree that your data may be stored electronically by TEAMWILLE and processed in fulfilment of its purpose.
11. Jurisdiction and safeguard clause
The law of the Federal Republic of Germany shall apply exclusively. As far as legally admissible, the place of jurisdiction shall be the registered office of TEAMWILLE GmbH.
